Regulatory Framework & Operating Disclosures

Regulatory Disclosures

Essential legal disclosures, ministerial role definitions, member-directed investment principles, and compliance notices for Tomorrow Fund capital account holders.

Compliance Notice & Legal Standing

Tomorrow Fund LLC is an international business entity chartered under the Nevis Limited Liability Company Ordinance. Tomorrow Fund does not operate a standing pooled investment vehicle, select or manage investments for members, or exercise investment discretion; rather, members independently select/initiate investments and elect whether to participate, and Tomorrow Fund administratively facilitates those transactions.

Section I: Jurisdiction & LLC Governance

Tomorrow Fund LLC is organized under the laws of St. Kitts & Nevis. Capital account holders participate as members of the Nevis LLC. Assets are held in institutional custody within the United States in the name of the company for the exclusive benefit of its capital account holders.

Section II: Member-Directed Investment Facilitation & Ministerial Operations

C. Reasonable Expectation of Profits & Investment Initiation

There is no reasonable expectation of profits generated by or through the company. Tomorrow Fund LLC does not have any proprietary investment programs created or offered for investment. Any investment that a capital account holder wishes to participate in must be:

  • (a) Explicitly requested by the capital account holder: We do not create, promote, or market pre-existing investment programs. It is entirely up to the capital account holder to request participation in a particular third-party investment opportunity they wish to invest into, which we will administratively facilitate upon their instruction. For example, multiple capital account holders (typically 2 to 100) may independently elect to participate in the same independent third-party capital growth fund to satisfy institutional minimum thresholds. In such instances, participating members instruct the Company to administratively execute the agreement to facilitate their collective participation. Tomorrow Fund's role remains strictly administrative without operating a standing pooled investment program.
  • (b) Under terms defined and accepted by the capital account holder: Precisely because it is their investment—not ours—all terms must be acceptable to the participating capital account holders. The Company functions strictly as the administrative facilitator of their chosen investment. At no time is any income or return generated by or through the efforts of the Company or any affiliate thereof.

No Inducement to Commit Capital: There is no inducement to commit capital for financial gain. The platform is not intended to provide any investment that is not completely initiated by, controlled by, and conducted by the capital account holder. The sole benefit available is the ability to administratively participate in third-party opportunities, including opportunities in which other members independently elect to participate, thereby enabling access to third-party opportunities.

🏢 Real Estate Co-Acquisition & Strict No-Debt Policy

Capital account holders may independently elect to participate in real estate acquisitions they wish to acquire and hold as an investment. Capital account holders inform the Company of the specific property they wish to acquire, the price they are willing to pay, and the cash funds available.

Strict Prohibition of Debt: No loans or leverage are permitted, as no debt is allowed for the Company under any circumstance. Capital account holders must provide 100% sufficient cash through their respective capital accounts to acquire the property.

Member Negotiations & Third-Party Management: Capital account holders conduct the property purchase negotiations on behalf of the Company (subject to formal Company officer approval). Furthermore, participating members must independently select an outside property management company to manage the property, as Tomorrow Fund LLC is not a property manager.

Rental Passthrough & Schedule K-1: The Company receives net rental proceeds from the third-party property management company and distributes the revenue directly to the capital account holders associated with that specific investment. Each member's respective IRS Form K-1 will reflect only the income and activity from the specific investment they requested and funded.

D. Reliance upon Company Staff & Exclusively Ministerial Nature

Reliance upon Company staff is confined strictly to acting as the administrative facilitator of the investment at the direct instruction of the capital account holder. Our efforts are exclusively ministerial in nature.

Tomorrow Fund LLC does not and will not actively determine investment strategies, construct discretionary portfolios, or provide investment advice of any type. Our role is exclusively ministerial: facilitating the documentation and participation requests made by capital account holders through the avenues they select, which are not controlled by, managed by, or conducted by the Company.

Section III: Efforts of Others (Third-Party Providers)

While investment performance and income may be affected by the managerial and/or entrepreneurial efforts of other persons (such as external third-party fund managers, registered custodians, or independent property management firms chosen by members), they are under no circumstances generated by or through Tomorrow Fund LLC or any affiliate thereof.

Section IV: Cash Reserves, FDIC Protection & Tax Transparency

Unallocated funds held in member Cash Balances remain on deposit in partner program banking institutions backed by FDIC insurance up to standard statutory limits ($250,000 per depositor). Active investment positions facilitated into third-party assets are not FDIC insured.

Tomorrow Fund LLC operates with complete tax transparency. Earnings generated from member-directed third-party assets are passed through and reported annually on member K-1 statements. Tomorrow Fund is not a tax shelter or deferral scheme. Members are advised to consult their independent tax and legal counsel.
